Terms of Service

Draft. This document is a working draft pending legal review and is not yet in effect.

Effective [Effective date] · Operated by [Legal entity name]

1. About these terms

These Terms of Service (the “Terms”) govern your access to and use of the DJYTL Capital website, trading services, Hydra Wallet interface and related services (together, the “Services”). The Services are operated by [Legal entity name], a company registered in [Jurisdiction] under number [Company registration no.], with its registered office at [Registered address] (“DJYTL Capital”, “we”, “us”).

By creating an account or using the Services you agree to these Terms, the Privacy Policy, the Risk Disclosure and the Fee Schedule.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract. The Services are not offered in jurisdictions where they would be unlawful, including [list of restricted jurisdictions]. You are responsible for complying with the laws that apply to you.

3. Your account

You must provide accurate information and keep it up to date. We may require identity verification (KYC) or business verification (KYB) before you can deposit, trade, withdraw or redeem. You are responsible for keeping your login credentials secure and for all activity on your account. Tell us immediately at [support email] if you suspect unauthorised access.

4. Commodity tokens

Each commodity token represents the specific legal claim stated on its commodity page, such as a warehouse receipt, title to inventory or a secured claim. The rights attached to a token are limited to that stated claim and the issuer’s redemption terms. Holding a token does not by itself give you possession of the physical commodity until it is redeemed and delivered.

Reference prices shown on the Services are for information only. They are not an offer to buy or sell and are not a valuation for redemption, reserves or any other purpose.

5. Trading

Orders are matched on our order book by price and time priority. An order is final once filled. We may reject, cancel or reverse orders placed in error, in breach of these Terms, or where required by law. Fees are set out in the Fee Schedule and are shown before you confirm.

6. Hydra Wallet and self-custody

Hydra Wallet is self-custody software. Your keys are created and stored in your browser, and we cannot access, recover or reverse transactions signed with them. You are solely responsible for backing up your recovery phrase. Transactions on DJYTL Chain and other networks are irreversible once confirmed.

7. Redemption

Redemption is subject to the minimums, methods, costs and timelines stated for each token, the availability of the underlying commodity, and any legal restrictions on delivery to your location. Redeemed tokens are burned. Storage, insurance, handling and delivery costs are charged at cost as shown before you confirm.

8. Bridge and third-party networks

Bridging and cross-chain swaps rely on third-party networks, liquidity sources and smart contracts that we do not control. We are not responsible for losses caused by failures, delays or changes on those networks.

9. Prohibited use

You must not use the Services for money laundering, terrorist financing, sanctions evasion, fraud, market manipulation or any unlawful purpose, and must not attempt to disrupt, reverse engineer or gain unauthorised access to the Services.

10. Suspension and termination

We may suspend or close your account, or restrict features, where required by law, to protect users or the Services, or if you breach these Terms. You may close your account at any time after withdrawing your assets.

11. Liability

To the extent permitted by law, the Services are provided “as is” and we are not liable for indirect or consequential losses, or for losses caused by market movements, network failures or events outside our reasonable control. [Liability cap and carve-outs — counsel to confirm]

12. Governing law and disputes

These Terms are governed by the laws of [Jurisdiction]. Disputes will be resolved by [courts / arbitration body].

13. Changes

We may update these Terms. We will give notice of material changes before they take effect. Continued use after that date means you accept the updated Terms.

14. Contact
